The Truly Closed Shop Revisited - It Gets Worse
 
You may remember that, back in December, I highlighted the fact that we, as Members and Shareholders, cannot change any of the WST Board's "Duries and Powers" as detailed in Rule 28 of "The Rules" as recommended by the now defunct Supporters Direct (SD). This is because Rule 27 specifically precludes amendment to Rule 28.

You may also know that I am planning to propose a Resolution at the next WST AGM which deletes the offending Paragraph from Rule 27.

In preparing for this, I have been doing more research via Companies House and the Financial Conduct Authority (FCA).

The SD Model, with its rules, was adopted in an "Amendment to the Rules" filed with the FCA on 19/4/2012. A further Amendment was filed on 18/2/15. The Amendment states:

Rule 28.3.4

Delete "no representative of the Board may serve more than 3 consecutive terms on the Club Board."

This means that Club Board members, who are appointed by the WST Board, are effectively in place for life - even if they do not get re-elected to the WST Board at the end of their 2 year term. They were previously restricted to 3 consecutive terms.


The Rules, as amended, are not fit for purpose. They are also riddled with references to SD which no longer exists, surely this renders them illegal.

This, along with the overlap of the two boards, needs to be changed, end of. Glad there are people who are prepared to do the leg-work on such issues. Keep up the good work Draig.

The very original rules decreed that the Club Board should have at least one WST Board member - that was changed in an earlier amendment.

If a change to the policy to include maximum number of terms, as per the egm proposal, needs a vote of members to approve it, how has someone amended the rules to delete this? Who signed that off and where was the vote?

As far as I can see, they are free to file amendments, but I'm still digging. Since the original registration with the FSA, 15/3/2002, there have been 4 amendments to the rules, the second of which was to replace the original rules with the SD model rules.
