To further make it clear -

Present were - SH, SSH, MD, JH, GJ, JM SL that is 7 plus chair PJ making the total 8

(There is of course the independent secretary who has no vote.)

The voting was 3 FOR and 6 abstaining - making that total 9

Of course members could abstain if they were not present or indeed new members. One would have to read back to see who was there and who wasn't.

Hope my assessment is now clear but only to happy to be corrected.

There was no independent secretary present for the November meeting so the minutes were probably drawn up by a board member from brief notes and memory.

Maybe, But, back in the day when there wasn't a secretary members took turns in recording minutes. Of course the role of the independent secretary is to be welcomed as contributing and recording is never easy. Never form memory.

You have to wonder why only three people there were prepared to confirm that the Minutes were an accurate record of the previous month's meeting!

Or, putting it a different way, why the majority of those present wouldn't put their names to that accuracy?

I just looked at both sets of minutes and looks like only Spencer and Pete were at both meetings, not sure how they got up to three people voting for!

You were correct in your count of seven plus the Chairman of the meeting.

The voting figure - shown as nine - is because the Minutes of that December meeting state that the motion to vote on approving the November minutes was proposed by SH and seconded by Bryan Still, but as BS wasn't in attendance for the December meeting (according to those Minutes) I don't believe that he could have seconded it or voted on it...

I'm surprised that previous Minutes seem not to record the resignations (or absences) of several Board members. Some may consider that these procedural matters are unimportant, but they are a part of the Standing Orders that determine how the Boards are run. Omissions such as these make you wonder what else is not recorded correctly, and reflects the sloppy way that the Club is being run.
