Wrexham Supporters Society Limited - Minutes of Trust Board Meeting
Held on: 30 March 2020, commencing at 19.00

Venue: Conference Call

Present: Spencer Harris (SH), Sarah Smith-Howard (SSH), Matt Davies (MD), James Harrison (JH), Gavin Jones (GJ), John Mills (JM), Stephen Lloyd (SL), Matthew Scott (MS), Robert Stock (RS), Brian Phillips (BP), Mark Williams (MW), Bryan Still (BS)

1. Matters arising and approval of the minutes of
Trust Board Members were asked to read and comment on the minutes of the meeting of 26th February


1. An overview of the HR and Finance position of Wrexham AFC

The main purpose of this meeting was for the Club Board members to brief the rest of the Trust Board on the current HR and Finance situation at the Club and discuss the next steps forward on action required as a result of the Covid-19 pandemic.

MW – briefed the Board on the situation to date.

• So far this calendar year there have been 2 homes since January 2020.
• The revenue budget per game is approximately £35K.

• All staff have been paid up to the end of March 2020 in full and,
He stated the amount of cash in the bank and confirmed that we have made use of time to pay arrangement until the situation becomes clearer. He then mentioned about the Government Retention scheme (to pay 80% of wages for staff earning up to £2.5K/month) and that, any money, from this scheme, will not be received by the Club until sometime in May at the earliest.
SH – further set the context by explaining that:

• 25% of the season’s match-day fixtures income has been lost,

• Non-match day revenue has been lost with the lockdown of the Racecourse,

• The foreseeable future revenue is also certain to be lost (e.g. the Concert in June is very unlikely to take place).

• No guarantee of when the season will start

• Season tickets can’t be sold

• Covid-19 has caused cash flow problems



The meeting was then put up over to questions to the Club Board members.

PJ asked about player contracts and whether they are all going to terminate at the end of
April.
SH explained that seven contracts will go beyond that date finishing at different points over
the next couple of months.
The discussion then went on to consider the implications of furloughing staff and
consideration given to fundraising ideas.


Finally, a discussion was held to obtain the Trust Board’s approval to use its cash reserves to
help fund the Club over this difficult period.

• Proposals

MW proposed that the Trust Board agree for the Club to use Trust funds to support it if
required until the cash is received under the furlough scheme
as and when required to fund the Club because of the Covid-19 pandemic. It
GJ – seconded the proposal

VOTE – passed unanimously with no abstentions


SH proposed asking the Trust Board to ratify the Club Board to approach all appropriate
employees to join the Government Retention scheme and to be furloughed until an
appropriate time.
PJ – Seconded the proposal

VOTE – passed unanimously with no abstentions

SH then went through the Communication that was due to be distributed to all Trust
members and put on the Club’s website for approval. This was agreed unanimously.

Why was there a vote on using the Trust’s reserves to support the FC club? I thought we cited as a membership each year on a set amount of cash that can be injected into the FC?
Are they using over and above what we approved?

7 players contract so once again we have a mystery player who has been given an extension and we've not been told about it?

Also looks like all £1.8 million of the Danny Ward money has gone

It says the 26th February meeting minutes were discussed, but does not say they were approved - and they have not gone up on the WST website for download....

I read this as 7 of those out of contract finish after April (Eg May June July) rather than we have 7 contracted for next season?

As the minutes no longer give any details of the WST finances, we don't know if they have the reserves to fund the club for any meaningful length of time.

We also don't know how much of the maximum amount authorised by the membership of £150K has already been advanced this year.
