Vow to fight for club from board pair facing axe

Dave Bennett and Dave GriffithsWREXHAM FC’s two remaining directors have vowed to fight on to save the club, despite the likelihood they will be sacked in three weeks time.

Earlier this week David Bennett and David Griffiths received notice of an extraordinary general meeting from club owner, Alex Hamilton, who resigned last week as chairman.

The meeting will see Mr Hamilton, the majority shareholder, sack Mr Bennett and Mr Griffiths and any other directors they invite on to the board in the meantime.

Mr Bennett said: “I have received the notice and it looks like we will be sacked in three weeks time but then again I have had two of these before.

“The other meetings didn’t go ahead and one was called off just shortly before it was due to begin, so we will have to wait and see if this one goes ahead. Who is to say there will be a need for the EGM? Anything can happen now.

“In the meantime we will endeavour to find a way forward. We are working doubly hard to save the club and we will carry on.”

Alex Hamilton's letter of resignationHearing confirmation Mr Hamilton had not back-tracked on his resignation, Mr Bennett said: “I am pleased he has resigned. We had a lot more people here on Saturday because he had gone. It means we can get on with trying to save the club. We are speaking to various parties right now and hopefully we can get this done.”

However, Mr Bennett accepts he has limited time. Potentially the two directors have a maximum of six weeks before they are ultimately sacked.

If they don’t hold the EGM by November 26, a meeting will be convened 21 days later by Mr Hamilton, as major shareholder, when they will be removed from the board.

The situation was spelt out in a letter from Mr Hamilton’s company, Memorvale Limited. The letter also asked Wrexham FC to pay for the cost of holding the meeting.

The letter to Mr Bennett and Mr Griffiths said: “Memorvale Limited serves notice as holder of 7,898 shares, approximately 78 per cent of issued share capital, require the directors to convene an EGM of the company to take place at The Racecourse ground, Wrexham, 21 days plus postage days, from the date you receive this notice.

“The object of the meeting is to pass a resolution to remove David Griffiths and David Bennett together with all other directors appointed by them after 4pm, Friday, October 29, on the grounds of breach of good faith by said directors alleged by former chairman Alex Hamilton resulting in lack of confidence such it has become unacceptable to Memorvale Ltd for these individuals to continue to hold fiduciary positions as officers of the company.

“In accordance with Section 368 Companies Act 1985 you must forthwith this day proceed to convene an EGN of the company.

“If a meeting is not convened to take place on or before November 26 Memorvale Limited shall convene a meeting a meeting by notice to members to take place on 21 days notice to be issued on November 26 to convene a meeting at the Racecourse ground, Wrexham, giving 21 days notice plus two days postage. Memorvale Limited will require costs of convening meeting to be recovered from the company.”
